KLA (KLAC) — moat facet

KLA owes $5.95 billion on notes running to 2063, but net of its securities the debt is less than $1 billion.

KLA's balance sheet is levered by choice. It had "$5.95 billion aggregate principal amount of outstanding indebtedness, consisting of senior, unsecured long-term notes" at the end of fiscal 2026, with maturities from fiscal 2029 to fiscal 20631. It repaid $750.0 million in fiscal 20252, down from $6.70 billion of principal a year earlier3.

More than halved in two years.

The debt is easily carried. Interest expense was $284.4 million in fiscal 20264, and operating income, which KLA does not report as a line but which its costs imply, was $5,660.8 million5, about 20 times the interest6.

Net of cash and marketable securities, the debt is small. Carrying debt of $5,887.4 million less $1,649.8 million of cash and $3,252.6 million of marketable securities leaves net debt of $985.0 million78, down from $2,126.1 million two years earlier9. An undrawn $1.5 billion revolving credit facility runs to July 203010.

Debt is how KLA can return more than its free cash flow in some years without selling assets. It is also a fixed claim that does not shrink in a downturn.

The interest bill has fallen as the debt came down. Interest expense was $311.3 million in fiscal 2024, $302.2 million in fiscal 2025 and $284.4 million in fiscal 202611, while other income, net, was $229.6 million in fiscal 202612. Net of that income, borrowing costs KLA little.

Counting leases, the picture is a little heavier. Stockanalysis puts KLA's total debt including leases at $6.15 billion and its net cash at minus $1.25 billion13, because it counts cash differently from the calculation above. On either basis net debt is no more than about a third of one year's free cash flow14.

The notes are unsecured, and KLA has swapped $2.00 billion of the fixed-rate debt to floating rates15, so lower short-term rates would trim its interest bill.

Long-term debt on the balance sheet was $5,884.3 million at June 2025 and $5,887.4 million at June 202616; between repayments the carrying value barely moves.

The level is comfortable now. If net debt rose above twice annual free cash flow, from about a quarter of it today17, the returns would be leaning on the lenders.
