Lam agreed to buy KLA-Tencor in 2015 and the deal was called off in 2016 with no fee paid; KLA has since earned a gross margin more than ten points higher than Lam's.

Lam Research is the company that nearly owned KLA. The two agreed to merge on 20 October 2015, and on 5 October 2016 they "mutually agreed to terminate the Merger Agreement and no termination fees were payable by either party"1. From KLA's side the outcome was independence, and the numbers since suggest it was the better path for KLA's owners. Revenue grew from $2,984.5 million in fiscal 2016 to $13,579.5 million in fiscal 202623, and KLA's gross margin in fiscal 2026 was 61.3%4 against about 50% at Lam5.

Lam is not a competitor in the ordinary sense. It is not among the five rivals KLA's 10-K names6; it makes the tools whose work KLA's tools inspect. The two sell into the same fabs and meet the same customers without meeting in the same qualification.

That makes Lam a peer whose market value sets a benchmark. On 25 September 2026 Lam was worth $393.13 billion7, 1.6 times KLA8, on revenue of about $23 billion9.

The two companies' shareholders have since done differently. At 25 September 2026, KLA was worth $245.24 billion10 and Lam $393.13 billion11. KLA's revenue of $13,579.5 million was 58% of Lam's1213, and its market value 62%14.

The year the merger was pending was a quiet one for KLA. Revenue rose to $2,984.5 million in fiscal 2016 from $2,814.0 million15, about 6%16, and research fell to $481.3 million from $530.6 million17. Since the deal was called off, revenue has compounded at about 16% a year to fiscal 202618, and independence let KLA make its own purchase: Orbotech, completed in February 2019 for approximately $3.26 billion19.

KLA's net income of $4,830.8 million in fiscal 202620 was about 35.6% of its revenue21, a margin earned on its own terms rather than inside a combined toolmaker.

The relationship to watch is the one the merger would have created. A future attempt by any process-tool maker to buy an inspection specialist would test whether customers still want an independent judge.
