Applied Materials sells both the tools and the inspection, and KLA's case against it is that a chipmaker wants an independent judge.

Applied Materials is the competitor that could argue KLA out of a sale, because it sells both halves. KLA's 10-K names it first among its competitors1, and on 25 September 2026 it was worth $383.87 billion2, about 1.6 times KLA3. Applied makes the deposition and etch tools that build a chip's layers and also sells electron beam tools that inspect them; its side of this contest is argued on Applied's own page, eBeam: Where Applied Meets KLA.

Applied is 1.6 times KLA by market value.

From KLA's side the argument is about who a chipmaker trusts to grade the work. An inspection tool is a judge of whether a process step worked. A chipmaker can buy that judgment from the company that made the process tool, or from one whose leading-edge business is only judging. KLA's description of itself is exactly that: "a leading supplier of process control and yield management solutions and services"4.

KLA's figures suggest the second choice has usually won. KLA says its process control share is "approximately 7x greater than the nearest competitor"5, a claim no independent source confirms, and its process control segment earned 44.8% of revenue as segment profit in fiscal 20266.

Applied has more to spend. It is a larger company, and KLA's 10-K concedes that some rivals "may have greater financial, research, engineering, manufacturing and marketing resources than we have"7.

KLA's argument is strengthened by where its own money goes. Of $1,532.1 million of research and development in fiscal 2026, the process control segment accounted for $1,341.3 million8. A combined supplier splits its research across deposition, etch, implant and inspection; KLA spends almost nine-tenths of its research on the one job Applied treats as one product line among many9.

The relationship is one of rivalry in a single step, not across the fab. The measure to follow is KLA's claim on electron beam inspection: management said on the March 2026 call that its share improved there10, and a call that dropped the claim would be the first sign Applied's combined pitch was winning.
