Palantir Technologies (PLTR) — threat to the moat
Palantir's founders control half the votes with about a tenth of the shares, and its chief executive has no named successor.
Palantir's owners do not control it. Three founders, Stephen Cohen, Alexander Karp and Peter Thiel, hold voting power fixed at "49.999999% of the voting power" through a voting trust1, and the 10-K says they "effectively control all matters submitted to the stockholders"2. Their economic stake is about 9.5% of the shares3.
The structure is written into the share classes. Class A shares carry one vote and Class B ten4; a separate Class F, held in trust, tops the founders' voting power up to that fixed level5. Karp holds 11.4% of the votes directly, Thiel 7.9% and Cohen 3.0%6.
The key-person risk is concentrated in one man. The 10-K names its dependence on key personnel "including Alexander Karp"7, who has been chief executive and a director since 20038. No successor has been named. Three of seven directors are founders9.
Dilution is the owners' other cost. Shares outstanding were 2,402.9 million at 30 June 202610, up 1.79% in a year11, and diluted weighted shares rose about 33% from 2021 to 202512; the repurchase programme was terminated in January 202613.
The largest outside holder has little say. BlackRock owned 158,217,849 Class A shares, 6.9% of that class, carrying about 3.5% of the votes14. Institutions held about 61% of the shares and insiders about 7%15, yet the founders' fixed half of the votes means a coalition of outside owners can never outvote them.
Governance rarely matters until it does. The number to follow is the share count: growth above 2% a year with no buyback means owners are paying for stock compensation through dilution while having no vote on the policy.
Dilution owners cannot vote against; growth above 2% a year without buybacks would transfer value to staff steadily.
