Applied paid $252.5 million to settle export charges in 2026, and the rules still reach 28% of its revenue.

Applied's largest single risk is set in Washington. In February 2026 it agreed "to pay $252.5 million to the Department of Commerce" over "certain customer shipments to China" made between November 2020 and July 20221. The Justice Department and the SEC closed their investigations without action2. The settlement includes internal audits and a denial order that is suspended and will be waived after three years3.

Settled once; the rules still bind.

The settlement ended a long inquiry. Since 2022 the company had received subpoenas from the Justice Department, the Commerce Department's Bureau of Industry and Security and the SEC4. The $253 million charge was booked in the first quarter of fiscal 2026 and paid in the second5.

The rules keep tightening. The September 2025 Affiliates Rule was expected to cut fiscal 2026 revenue by about $600 million6, and the 10-K says the regulations require additional licences "to supply certain of our products or provide services to certain customers in China"7.

China is still large. It took 37.2% of revenue in fiscal 2024, 30.1% in 20258 and 28% in the quarter to July 20269. Applied's long-lived assets in China are only $8 million10, so the risk is to sales rather than to property.

Export controls are not the only government inquiry the company has disclosed. The 10-K also reports "subpoenas from the U.S. Department of Justice requesting information related to certain federal award applications"11, and the later quarterly filings say nothing about how that matter stands. A company that depends on government grants for new factories and on government licences for its largest market has more than one reason to keep Washington content.

The settlement had a price beyond the fine. The $253 million charge pulled the systems segment's first-quarter margin down to 27.8%12, and GAAP earnings per share in that quarter were $2.54 against $2.38 non-GAAP13, the adjustment being partly the charge. The larger cost is the audits and the suspended denial order, which keep the company under supervision for three years14.

The suspended denial order is the sharpest edge: a new violation within three years could lift the suspension. The number to follow is China's share of revenue; a drop below 20% within a year would show the rules, not demand, have set Applied's size there.
