UnitedHealth's Brazil exit cost $7.1 billion, proof that acquired goodwill can become a loss.
Not every purchase worked. UnitedHealth sold its Brazil operations in February 2024 and recorded a loss of $7.1 billion, of which $4.1 billion was cumulative currency translation1. The remaining South American operations are held for sale, with a further loss of $1.2 billion2, and the sale is expected to close in the second half of 20263.
The losses show up in the income statement: a loss on sale of subsidiaries of $8,310 million in 2024 and $265 million in 20254. That is the main reason net earnings fell to $14,405 million in 2024 while operating earnings were flat5.
The international business was once a growth bet. Its exit is a reminder that goodwill can turn into a loss when a purchase fails.
The international exit also shrank the membership base. People served in South American operations held for sale fell from 5,540,000 at the end of 2023 to 1,145,000 in June 202667, and the losses on the held-for-sale operations continued at $61 million in the second quarter of 20268.
The figure to watch is any impairment of goodwill in the domestic businesses, particularly Optum Health. A charge there would say the clinics were worth less than UnitedHealth paid.
