Each partial sale of Optum's clinics brings in capital and hands a share of the profit to someone else.
Bringing in a partner means sharing the profits and the decisions. UnitedHealth sold an interest in part of its Florida WellMed operations to TPG without disclosing the terms1, and TPG bought Optum UK earlier in the year, according to media reports2.
Each such sale can be sensible on its own. Taken together they would change what Optum Health is: a network of partly owned clinics run with financial partners rather than a wholly owned care system.
The company already carries nonredeemable noncontrolling interests of $5,980 million, up from $5,610 million a year earlier3.
The chief financial officer said the company did not need the money but needed focus and a partner that could work with it locally4. That is a reasonable rationale for one market; repeated across many, it would describe a different kind of business.
Noncontrolling interests on the balance sheet will record how far this goes. A sharp rise would say more of the care business now belongs to partners.
