The Justice Department is examining, criminally and civilly, how UnitedHealth is paid by the customer that provides 44% of its revenue.

The most serious legal risk UnitedHealth faces concerns the way it is paid by its largest customer. In July 2025 the company said it had "begun complying with formal criminal and civil requests" from the Department of Justice about its participation in Medicare1. A trade report later said the department was interviewing former employees about Medicare billing practices2.

Fifteen years of dispute, now criminal as well as civil.

There is an older case too. A whistleblower filed a civil False Claims Act suit over risk-adjustment payments in 2011, and the Justice Department intervened in February 2017; in March 2025 a special master recommended summary judgment for UnitedHealth, and the department objected in April 20253. Government risk adjustment data validation audits are also continuing4.

The company defends its practices. It says a company-commissioned review found its HouseCalls program's error rate "nearly three times lower" than the rate in the government's most recent audits5.

No amount has been disclosed or estimated. The exposure is the business the inquiries concern: Medicare & Retirement revenue was $171,285 million in 20256, and premium revenue from CMS was 44% of the company's revenue7.

The company has also changed how it is governed while the inquiries run. Its board created a Public Responsibility Committee in August 2025 and replaced its lead independent director8. Andrew Witty, who led the company when the inquiries began, resigned from the board in May 20259. None of these steps settles anything; they are the preparation of a company that expects a long process.

The inquiries also reach beyond risk adjustment. The trade report said the department was examining billing practices at Optum Rx and how UnitedHealth reimburses physicians10, and the company's 10-Q describes the older civil case and the government's continuing audits11. A resolution of one matter would not end the others.

This threat could end in a settlement, in constraints on how diagnoses are recorded, or in nothing. The event that would falsify the benign reading is a criminal charge or a civil claim with a figure attached; the number to follow meanwhile is Medicare & Retirement revenue, whose rules any settlement would change.
