⚠ ARR That Came With the DealsModerate threat

Palo Alto Networks (PANW) — threat to the moat

The 63% jump in Palo Alto's software ARR owes much to $1.6 billion bought with CyberArk and Chronosphere.

The fastest growth in Palo Alto's favourite metric came with a purchase order, not a sales call. In the third quarter of fiscal 2026 NGS ARR reached $8.1 billion, including $1.6 billion from CyberArk and Chronosphere1, about 20% of the total2.

The third-quarter jump was partly acquired.

Acquired ARR is not worthless. CyberArk's identity customers are real, and they renew. But it inflates the growth rate for four quarters and then drops out of the comparison, leaving the underlying pace exposed. Before the deals NGS ARR was growing 29% and 33%34; after them it grew 63%5.

The company's own guidance shows the step down to come. For fiscal 2027 it expects NGS ARR growth of 22% to 23%6, a rate that includes a full year of the acquired businesses in both periods.

The same pattern applies to the backlog. Remaining performance obligations of $18.4 billion in the third quarter included $1.8 billion from CyberArk and Chronosphere7, about a tenth of the total8. Both of the company's forward-looking measures got a one-time lift from the acquisitions in the same quarter.

This threat is about honesty in the metric, not about fraud. If fiscal 2027 NGS ARR lands below $11.075 billion, the bottom of the guided range, the organic engine was weaker than the reported growth made it look.
