Palo Alto announced CyberArk at $25 billion and booked it at $21.1 billion, because it paid in shares that had fallen in the meantime.
CyberArk is the acquisition that changed Palo Alto's shape. Announced on 30 July 2025, the deal offered "$45.00 in cash and 2.2005 shares of Palo Alto Networks common stock for each CyberArk share", an equity value of about $25 billion and a 26% premium1. Regulators granted early termination of the waiting period on 24 September 20252, and the deal closed on 11 February 20263.
The booked price was lower than the headline. Palo Alto recorded total consideration of $21,061 million: $2,308 million of cash, 112 million shares valued at $18,488 million, and $265 million of replacement awards4. The shares were valued at about $165 each5, because Palo Alto's own price had fallen between announcement and close, which cut the accounting cost by about $3.9 billion6.
What Palo Alto bought is identity security. The combined business now sells Idira, "designed to secure human, agentic, and machine identities"7, and the company points out that machine identities "outnumber human identities by more than 80 to 1"8. On a pro forma full-year basis Idira had revenue of $1.26 billion in fiscal 2026, up 21%9.
Most of the price was goodwill. Of the $21,061 million, $14,800 million was recorded as goodwill and $6,279 million as intangibles, including $3,500 million for platform renewals10.
The deal gave CyberArk holders a large stake in Palo Alto. The 112 million shares issued11 were about 14% of the 818 million outstanding in August 20261213. The company plans to adopt the CYBR ticker for a listing on the Tel Aviv Stock Exchange14, keeping a market for Israeli investors who held CyberArk.
The deal extends the platform into the one security category Palo Alto did not already sell at scale. Idira's pro forma revenue, $1.26 billion15, is the number to judge it by; growth below the guided high teens in fiscal 2027 would mean Palo Alto paid a platform price for a business growing like a product.
