Palo Alto pays 15.5% of its revenue in stock, and deducting it cuts free cash flow by more than two-fifths.

Palo Alto pays a large share of its costs in stock. Share-based compensation added back in the cash flow statement was $1,774 million in fiscal 20261, about 15.5% of revenue2, up about 37% from $1,295 million3. The 10-K puts total share-based compensation at $1,815 million, and $3.3 billion more is still to be recognised over about 2.5 years4.

Falling for years, rising again.

That is a real cost to shareholders. Deduct it from free cash flow and the fiscal 2026 figure falls from $4,113 million to about $2,339 million, 20.4% of revenue5. Stock pay was about 43% of free cash flow6.

The ratio has improved over time: stock pay was about 28.5% of revenue in fiscal 20167 and 13.4% in fiscal 20248. Fiscal 2026 reversed that, partly from accelerated vesting on CyberArk and Koi awards of $177 million9.

The equity plan has room for more. In November 2025, 26,116,221 shares were subject to outstanding awards and 24,341,864 remained available for grant10, together about 6% of the 818 million shares outstanding in August 202611.

This is the cost the non-GAAP figures exclude. If stock pay stays above 15% of revenue in fiscal 2027, the gap between reported cash flow and what owners keep is widening rather than narrowing.
