Palo Alto Networks (PANW) — threat to the moat
Palo Alto spent another $825 million on two acquisitions within five weeks of closing its fiscal year.
Palo Alto did not stop buying when fiscal 2026 ended. It completed the acquisition of Embrace Mobile on 27 August 2026 for $325 million in cash, and of Console Systems on 1 September 2026 for $500 million in cash1, both before filing its annual report.
Earlier deals still carry costs. The IBM QRadar purchase included a contingent consideration liability, with payments through October 2028 in an undiscounted range of $0.3 billion to $0.5 billion2.
A steady flow of acquisitions makes the company harder to read. Each deal adds revenue, costs and amortization, so reported growth and margins mix what Palo Alto built with what it bought.
The contingent payments on the QRadar deal are still owed. The undiscounted range of future payments is $0.3 billion to $0.5 billion, through October 20283. That is a cost of an old deal that will appear in cash flow for two more years.
The pace is the thing to watch. If fiscal 2027 brings another large acquisition on top of the $825 million already spent4, investors will have to accept that buying is part of the growth model, not a phase.
