Analog Devices (ADI) — threat to the moat

ADI issued $3 billion of notes running to 2036 in the same quarter it bought Empower and agreed to buy Alif, while promising to return all its free cash.

ADI is adding debt at the same moment it is adding acquisitions. On 17 September 2026 it issued $500 million of notes due 2029, $500 million due 2031, $1.0 billion due 2033 and $1.0 billion due 20361, $3.0 billion in all. A week earlier it had agreed to buy Alif for $1.35 billion in cash2; two months earlier it had paid about $1.5 billion for Empower3.

Two-thirds of the new debt runs past 2032.

Before the new notes, long-term debt was $6,771.6 million, current debt $1,344.9 million and commercial paper $1,005.1 million4. Net debt was about $6,797 million5, from about $4,939 million at the end of fiscal 20256.

The borrowing is affordable. Trailing free cash flow of $4,937.5 million7 would repay the pre-notes net debt in under a year and a half. The concern is the direction of travel for a company that has promised to return all its free cash. With no cash left over after returns, every acquisition has to be funded with debt or shares, and ADI's history suggests it will keep buying.

The notes also lock in the cost. They run to 2036, well past the amortisation cliff of fiscal 20308, so part of the purchase price of today's deals will still be owed after the accounting cost of yesterday's deals has gone.

If net debt exceeds $9 billion at the end of fiscal 2026, after Alif, the company will be carrying about twice its trailing free cash flow, and the capital return policy will need to give way to repayment.
