Analog Devices (ADI) — moat facet
ADI's acquisition amortisation falls from $1.54 billion in fiscal 2026 to $404 million in fiscal 2030, so about $1.1 billion of the gap between reported and adjusted earnings closes by itself.
A large part of the gap between ADI's reported and adjusted earnings has an end date, and it is printed in the 10-K. Amortisation of acquired intangibles is scheduled at $1,537.5 million in fiscal 2026, $1,533.0 million in 2027, $1,465.3 million in 2028, $1,128.2 million in 2029 and $404.2 million in fiscal 20301. The charge falls by about $1,133.3 million between 2026 and 20302.
The mechanics are simple. Intangibles are written off over their estimated lives, and most of the customer relationships and technology bought with Maxim in 2021 run out by the end of the decade. Gross intangibles were $18,027.8 million at the end of fiscal 2025, of which $10,014.0 million had already been amortised3. More than half is gone.
What changes when the charge falls is GAAP earnings, not cash. Reported operating income will rise by roughly the fall in amortisation, all else equal, and the gap between the adjusted EPS the company guides to and the reported EPS it files will narrow. In fiscal 2025 acquisition-related expenses cost $3.24 a share4, against reported EPS of $4.565.
For a long-term owner the cliff matters in two ways. It makes the headline price-to-earnings ratio, 46.96 times trailing earnings6, less alarming than it looks, since part of the earnings gap will close by itself. And it removes the easiest defence of weak reported returns, which is that the amortisation hides the business.
The cliff can be pushed back by new deals, which is the subject of the danger below. If the scheduled amortisation for fiscal 2030 in the next 10-K rises above $600 million, new purchases will have refilled the pipeline and the cliff will have moved further out.
