ADI's operating franchise earns about 35% on the capital it uses; after paying $44 billion for Linear and Maxim, its owners earn under 6% on theirs.
Analog Devices has two returns, and the moat question is which one to believe. The operating business, a catalogue of several thousand long-lived analog parts designed in by engineers1, earns about 34.9% after tax on the capital it actually uses2. The company that owns it earns 5.7% on everything shareholders paid, goodwill included3, against a hurdle of about 9%.
The first number is the moat. Adjusted gross margin was 69.3% in fiscal 20254 and 72.5% in the latest quarter5; free cash flow was 39% of revenue6; the company has had positive free cash flow for 29 years and raised its dividend for 227. No end customer reaches 10% of revenue8. These are the marks of parts that customers choose once and keep buying.
The second number is the price. ADI bought Linear for about $15.8 billion in 20179 and Maxim for about $28.0 billion of stock in 202110, and goodwill and intangibles are 72.8% of its assets11. Return on invested capital was 13.4% in fiscal 2015 and 16.3% in 2016, before the deals, and has been between 4.3% and 9.3% in every year since12.
Four facets carry the argument. The Catalogue and the Engineers is the franchise. Bought, Not Built: Linear and Maxim is the price. Hybrid Manufacturing is how the business keeps capital needs low. Cash Returned, Every Dollar is what it does with the result.
The moat is wide in the operating sense and narrow in the owner's sense, and the rating follows the business. The trajectory is widening because the upturn and the amortisation cliff both push the reported return up.
Other measures tell the same story from different angles. Return on equity was about 6.6% in fiscal 2025 and 4.6% in 202413, on shareholders' equity of $33,815.8 million and $35,176.3 million14, because equity too is mostly purchase price. A third-party calculation on trailing earnings, which include the upturn, puts return on invested capital at 10.96%15, which shows how far one strong year moves the figure. The cash view is the kindest: free cash flow was 39% of revenue in fiscal 202516, since the largest charge against reported profit, acquisition amortisation, costs nothing now.
What would falsify the moat is the operating return. If return on capital excluding goodwill falls below 25% in a year that is not a downturn, the franchise itself, not just the purchase price, will be weakening.
Upturn and falling amortisation both lift reported returns from 5.7% in FY2025.
The whole moat question in one pair of figures; the reported figure passing 9% would mean the deals have been earned.
