Analog Devices (ADI) — moat facet
ADI's net debt rose from $4.9 billion to $6.8 billion in nine months as it paid for Empower and returned more than its free cash, before $3 billion of new notes.
ADI is returning more cash than it makes and buying companies at the same time, and the difference is being borrowed. Net debt was about $4,939 million at the end of fiscal 20251 and about $6,797 million at 1 August 20262, on long-term debt of $6,771.6 million, current debt of $1,344.9 million and commercial paper of $1,005.1 million against cash and short-term investments of about $2,324.9 million3.
Two things drove the rise. The company paid $1,500.2 million for Empower in the third quarter4, and it returned $5,170 million over the trailing twelve months against free cash flow of $4,937.5 million5. Then it borrowed more: on 17 September 2026 it issued $3.0 billion of senior notes due between 2029 and 20366, and in July it arranged "a 364-day revolving credit facility" of up to $3.0 billion7.
None of this strains a company with ADI's cash flow. Net debt of $6.8 billion is less than one and a half years of free cash flow8, and shareholders' equity was $33,550.9 million9. The covenant requires earnings before interest, tax, depreciation and amortisation to cover interest by more than three times10.
What it changes is the direction. For years the company paid for deals partly in shares and returned cash from operations; now it is borrowing to do both at once. That works while rates are reasonable and cash flow is rising.
The number that would show the balance sheet carrying too much is net debt against trailing free cash flow. If it passes two times after the Alif purchase closes, the capital return policy will be funded by lenders rather than by the business.
