Analog Devices (ADI) — moat facet
ADI paid about $15.8 billion for Linear in 2017, 4.6 times its own prior-year revenue, and its return on capital has not been back above 10% since.
Linear Technology changed what Analog Devices is. The purchase closed in March 2017, and "The total consideration paid to acquire Linear was approximately $15.8 billion, consisting of $11.1 billion in cash"1, with about $4.6 billion in stock and $0.1 billion of other consideration2. ADI's revenue had been $3,421.4 million in fiscal 20163; the price was about 4.6 times that4.
The balance sheet shows the scale. Goodwill was $1,679.1 million at the end of fiscal 2016 and $12,217.5 million a year later5, about 7.3 times6. Revenue rose to $5,246.4 million in fiscal 2017 and $6,224.7 million in 20187, and the reported gross margin reached 68.3% in 20188, the highest in the decade shown.
Linear was, in the filing's words, "an independent manufacturer of high performance analog integrated circuits"9, and its parts filled out ADI's catalogue. It also brought a fab: the fiscal 2019 10-K listed internal production at "Wilmington, Massachusetts; Milpitas, California; Camas, Washington; and Limerick, Ireland"10. By fiscal 2025 Milpitas was no longer in the list, which read Wilmington, Camas, Beaverton and Limerick11.
Was it worth the money? The return on invested capital answers that. It was 16.3% in fiscal 2016 and 8.1% in fiscal 201712, and it did not return to the pre-deal level in the eight years that followed. The deal added revenue and margin; it did not add returns on the capital spent to get them.
The Linear purchase will have paid off when ADI's return on invested capital, including the goodwill, climbs back above 10%. It has not done so since fiscal 201613, and until it does the business is earning less on what it paid than it earned before it paid.
