Thermo Fisher has borrowed about $42.5 billion to fund its purchases, and the debt now limits how many more it can make.

Thermo Fisher has borrowed to buy. It had approximately $39.38 billion of debt at the end of 20251, and management put total debt at "$42.5 billion" at the end of the second quarter of 20262. The leverage ratio was "3.6x gross debt to adjusted EBITDA and 3.3x on a net debt basis"3.

The borrowing follows the deals. Clario's booked price included $3,180 million of Clario's debt settled at closing4, and cash fell from $9,852 million at the end of 20255 to $4,064 million in June6.

The cost is manageable. Interest expense was $1,419 million in 2025 against interest income of $993 million7, and net interest is guided at approximately $660 million for 20268. Operating income was $7,746 million9.

The 10-K names the risk: "Our existing and future indebtedness may restrict our investment opportunities or limit our activities and negatively impact our credit ratings"10. For a company that grows by buying, less room to borrow means less growth.

Measured net of cash, the burden was lighter at the end of 2025. Debt of $39.38 billion less cash of $9,852 million and short-term investments of $253 million left net debt of about $29.3 billion1112. By June cash had fallen to $4,064 million after Clario and the buybacks13. The company also has a revolving credit facility of up to $5.00 billion14, a backstop rather than a funding source.

Interest costs have barely moved while the debt grew: interest expense was $1,375 million in 2023, $1,390 million in 2024 and $1,419 million in 202515. Operating income covered it about 5.5 times in 202516. The cost of the new Clario borrowing will show in 2026.

The measure is the leverage ratio. At 3.6 times gross it is high for this company; above 4 times, the next large acquisition would have to wait or be paid for in shares.
