About a quarter of Dell's assets are goodwill and intangibles from EMC, and the storage business at its core has not grown in three years.
The EMC deal lives on in Dell's balance sheet. Goodwill was $19,547 million and other intangible assets $4,533 million at 30 January 20261, together about 24% of total assets of $101,286 million2. EMC's total purchase price to allocate was $63,951 million3.
Goodwill does not wear out on its own, but it can be written down if the businesses it belongs to earn less than expected. Storage, the heart of what Dell bought from EMC, sold $16,631 million in fiscal 2026, below the $17,958 million of fiscal 202345.
A write-down would not cost cash, but it would cut reported earnings and deepen the negative equity.
The goodwill balance even rose slightly in fiscal 2026, from $19,120 million to $19,547 million6. Goodwill is not amortised, so it stays at that value unless the businesses it belongs to are judged to be worth less.
Storage revenue is the tell. If storage revenue keeps drifting down while the AI business grows around it, the case for carrying EMC goodwill at full value gets weaker each year.
