Swedish Match left PMI with $13.3 billion of goodwill resting largely on one pouch brand whose growth paused in 2026.

The goodwill from Swedish Match is large relative to PMI's balance sheet. The acquisition added $13,301 million of goodwill1, and PMI's total goodwill was $17,264 million at the end of 2025, with $10,884 million of other intangibles2, together about 41% of total assets3.

PMI has written down purchases before. In 2023 it impaired $665 million of goodwill in its Wellness and Healthcare business4, two years after buying Vectura and Fertin Pharma, and in 2025 it recorded a further goodwill impairment of $41 million5.

An impairment of Swedish Match goodwill would not cost cash; the cash was spent in 2022. But it would be the accounting admission that ZYN's growth will not justify the price, and it would push PMI's stockholders' deficit deeper.

The intangible assets from the deal are also being amortised. The adjusting items in the U.S. segment, the gap between reported operating companies income of $322 million and adjusted income of $1,124 million in 20256, are the visible cost of that accounting each year. An impairment would come on top of it, not instead of it.

The trigger is sustained weakness in American pouches. If ZYN's shipments are still falling in 2027 after the destocking is over, the annual impairment test is where the market will learn how much of the $13.3 billion survives.
