CrowdStrike (CRWD) — threat to the moat

CrowdStrike's stock pay rose to 27% of revenue in the latest quarter, and it accounts for nearly all of the gap between its GAAP loss and non-GAAP profit.

CrowdStrike pays its people largely in stock, and the share is going up, not down. Stock-based compensation and related payroll taxes were $399.0 million in the second quarter of fiscal 2027, up 44% from $276.7 million1. That is about 27.1% of revenue, against about 23.7% a year earlier2. For fiscal 2026 the figure was $1,130.6 million3, about 23.5% of revenue, up from about 22.9% in fiscal 20254.

Rising, not falling, as the company grows.

This is the whole gap between the two sets of results. Fiscal 2026 GAAP operating loss was $293.3 million; non-GAAP operating income, which excludes stock pay and related taxes, was $1.05 billion5. Its profit guidance is given on the non-GAAP basis, which excludes stock-based compensation expense and related employer payroll taxes6.

The cost reaches shareholders as dilution. Shares outstanding rose 3.24% in a year7, even though CrowdStrike bought back $175.6 million of stock in the first half of fiscal 20278. It made no repurchases in the second quarter and had $1.3 billion of authorisation left at July 20269. The chief executive's performance award alone can pay up to 600,000 pre-split shares, depending on total shareholder return against the S&P 50010.

Stock pay is also why the cash flow looks better than the income. Free cash flow of $1,235.3 million in fiscal 202611 adds back stock compensation as a non-cash cost; after deducting it, what remains is a small fraction of revenue, as the Moat page shows.

The annual figures show the same direction over three years. Stock-based compensation in the cash-flow statement was $648.7 million in fiscal 202412 and $1,096.7 million in fiscal 202613, about 21.2% and 22.8% of revenue14.

A company can grow out of stock pay, and many software companies have. CrowdStrike is doing the opposite for now. The quarterly ratio is the one to track: 27.1% in the second quarter of fiscal 2027; if it is still above 25% a year from now, the non-GAAP margin that the valuation rests on is being bought with the shareholders' own equity.
