Amphenol (APH) — threat to the moat
About $425 million of Amphenol's 2025 costs sat above the segment results its managers are measured on, mostly the price of buying businesses.
A federation of managers paid on their own profit has a blind spot: costs that belong to nobody. Amphenol's segment operating income, the figure its businesses are measured on, was $6,293.1 million in 20251. Consolidated operating income was $5,868.6 million2. The difference, $424.5 million or 6.7% of segment profit3, is made of stock compensation of $135.4 million, an inventory step-up of $77.8 million, acquisition-related expenses of $103.4 million and other operating expenses of $107.9 million4.
Most of those are the price of the acquisition strategy. A business bought for its niche arrives with fees, write-ups of inventory to fair value and integration work, and none of it lands in the segment result that the general manager, or a reader of the segment table, looks at first.
The gap has moved with the deal pace. It was $201.5 million, 7.3% of segment profit, in 2023, and $331.8 million, 9.5%, in 2024, the year CIT was bought5. In the first half of 2026, with CommScope, acquisition-related expenses alone reached $272.4 million6.
None of this is hidden; the reconciliation is printed in the segment note7. The risk is in behaviour rather than disclosure. A system that pays managers on segment profit, and pays the head office in deals, can drift toward buying growth that the managers never have to account for. Stock compensation is the one recurring item in the gap, and it has grown steadily: $99.0 million in 2023, $109.5 million in 2024 and $135.4 million in 20258. It is a real cost of running the federation, paid in shares.
If the gap between segment and consolidated operating income stays above 10% of segment profit for a full year once CommScope is absorbed, the cost of buying would be outrunning what the managers earn.
