CommScope: The Seller Amphenol Bought From TwiceNarrow moat
Amphenol (APH) — moat facet
CommScope sold Amphenol two businesses in a year for $12.5 billion; buying a competitor's product lines outright is how Amphenol wins sockets it did not hold.
One company has been more useful to Amphenol as a seller than as a competitor. CommScope sold Amphenol its outdoor wireless and distributed antenna businesses, the old Andrew Corporation portfolio, for $2,022.7 million, closing on 31 January 20251. Six months after that deal closed, it agreed to sell its Connectivity and Cable Solutions business "for $10.5 billion in cash"2, which closed on 9 January 20263.
Both businesses sat beside Amphenol's own. Andrew added "advanced antenna and associated interconnect products" and "complements Amphenol's existing product portfolio for next-generation wireless networks"4. The cable business added "significant fiber optic interconnect capabilities for the IT datacom and communications networks markets"5. In both cases the capability Amphenol wanted was already being sold to its own customers by someone else.
That is a distinct kind of competitive relationship: the rival that exits. When a competitor needs cash more than it needs a business, a buyer with Amphenol's balance sheet and system can take over the product line, the customers and the engineers in one transaction. The two deals added about 24,000 people678.
The cable purchase is performing above plan so far. Amphenol expected about $4.1 billion of 2026 sales at closing9 and now expects $4.6 billion10, with IT datacom rising from about a third of the business's 2025 sales to "just a bit less than half"11.
The scale is unusual even for Amphenol. The two purchases cost about $12.5 billion together12, slightly more than the about $12.4 billion it paid for all acquisitions from 2015 to 202513. A seller of that size, willing to sell twice, is rare, and it gave Amphenol capabilities in antennas and fibre that would otherwise have taken years to build. At announcement the cable business was expected to have 2025 sales of about $3.6 billion14.
This relationship will be judged by what the two purchases earn together. If CommScope's businesses deliver less than the $4.6 billion of sales now expected for 2026, Amphenol will have bought a rival's problems rather than its customers.
CCS 2026 sales outlook raised from $4.1bn to $4.6bn.
What the two CommScope purchases are delivering; below $4.6bn would mean a rival's problems were bought.
