Amphenol (APH) — moat facet

Amphenol runs 170,000 people and more than 140 businesses on selling and overhead costs of about 11 cents per dollar of sales.

A decentralised company should have a cheap centre, and Amphenol's is. Selling, general and administrative expense was $2,545.7 million in 20251, 11.0% of net sales, against 12.2% in 2024 and 11.9% in 20232. That line pays for selling, for the segment managers and for corporate functions together, so the head office proper is a fraction of it.

The centre got cheaper as the company grew by half.

The structure is written into the filings. There are three segment managers, each reporting to the chief executive3, and below them the general managers who carry "clear income statement and balance sheet responsibility in a flat organizational structure"4. When the company resegmented in 2022, it said the new alignment "reinforces the Company's entrepreneurial culture and the clear accountability of each of our business unit general managers"5.

Leadership has been unusually stable. Martin Loeffler was president from 1987 to 2006, chief executive from 1996 to 2008 and chairman from 19976. R. Adam Norwitt has been a director since 2009 and is president and chief executive7. Two chief executives in thirty years is a culture being handed down rather than reinvented.

A cheap centre is also a fast one. Sales rose 51.7% in 20258 while selling, general and administrative costs rose 37.2%9, from $1,855.4 million10. That is operating leverage delivered by the part of the company that does not make anything.

Even the computer systems are kept apart. The company "maintains a decentralized information technology infrastructure", and it points out the benefit: "if any business unit's systems are compromised, there is less risk that another business unit will be impacted by that event"11. A head office that does not run a common system for 170,000 people has less to maintain, and less to lose in a single failure. Research follows the same pattern, done "primarily by individual business units"12. The ratio fell 1.2 points in a single year13.

If selling, general and administrative expense rises above 12.5% of sales in a year when sales grow, the centre will be growing faster than the businesses it serves, which is how federations turn into bureaucracies.
