CIT, Andrew and Trexon: The Middle-Sized DealsWide moat
Amphenol (APH) — moat facet
Amphenol's middle-sized deals cost about two times sales for businesses earning 20% to 25% margins, and landed where its system could run them.
Before CommScope's cable business, Amphenol's acquisition record was built on deals it could absorb in a year. The three it closed in 2024 and 2025 show the pattern at its most recent scale. CIT, bought from Carlisle for about $1,995.3 million and completed on 21 May 202412, was expected to have 2024 sales of about $900 million at an adjusted EBITDA margin of about 20%3. The company called it "one of the largest acquisitions in the Company's history"4.
Andrew, CommScope's outdoor wireless and distributed antenna businesses, cost $2,022.7 million and closed on 31 January 20255. At announcement Amphenol expected full-year 2024 sales and EBITDA margins "of approximately $1.2 billion and 25%"6. Trexon, a defense cable-assembly maker, cost $1,050.3 million and closed later in 20257.
The prices were about two times sales. CIT cost about 2.2 times its expected 2024 sales and Andrew about 1.7 times8, for businesses earning EBITDA margins of 20% to 25%. That is the Amphenol formula: pay a moderate multiple for a solid niche, then raise its margin inside the system.
The deals went where they fit. CIT and Trexon went into Harsh Environment Solutions910, whose sales rose from $3,530.8 million in 2023 to $5,881.7 million in 202511. Andrew went into Communications Solutions12. Earlier, MTS was bought for an enterprise value of about $1,700 million in 202113 and Halo for about $694 million14.
The pattern goes back further. In 2021 the company "invested approximately $1.5 billion", net of the proceeds from selling the MTS Test & Simulation business in December 2021, "to fund seven acquisitions"15. It kept the MTS sensors business and sold the test business it did not want, the same trimming a private buyer would do.
The way to judge them is growth net of buying. In the June 2026 quarter sales rose 55% in dollars and 30% organically16, so about 25 points came from acquisitions and currency17. If acquired growth keeps exceeding organic growth once the AI boom slows, Amphenol will be buying sales rather than earning them.
