Norwitt now chairs the board that oversees him, just as Amphenol's deals have become the largest in its history.

For the first time since 2008, when Martin Loeffler handed over the chief executive's job, the person running Amphenol also chairs the board that oversees him. The board appointed R. Adam Norwitt "to the additional role of Chairman of the Board, effective on the date of the Company's 2026 Annual Meeting of Stockholders"1. Martin Loeffler, chairman since 1997, retired from the board at the same time2.

The company's answer is a lead independent director. David P. Falck, a director since 2013 and presiding director since 2016, was appointed to that role3. That is a common arrangement, and Norwitt's record is long. It also removes the one person who had chaired the board through every acquisition the company has made since 1997.

Norwitt's own stake aligns him with owners. The proxy lists 8,219,557 shares before the September 2026 split4, about 16.4 million after it and roughly $1.37 billion at $83.145. The largest outside holders are index and fund managers: Vanguard with 10.2%, BlackRock with 8.0% and FMR with 7.0%6, none of whom is in the room for deal decisions. Norwitt's pay reflects the stake owners have given him. His total compensation for 2025 was $22,351,288, of which $1,565,000 was salary7, about 7%8.

The combination matters more because the deals have grown. CommScope's Connectivity and Cable Solutions business, bought for $10.5 billion, is described as "the largest acquisition in the Company's history"9. The check on the next one will be the balance sheet. Net leverage was 1.3 times earnings before interest, tax, depreciation and amortisation in June 202610; a deal that took it above 2 times would be the kind of decision a separate chairman used to weigh.
