Morgan Stanley (MS) — threat to the moat
Morgan Stanley paid about $249 million and admitted responsibility for employees' conduct in block trades, a small fine in the business where trust is the product.
The institutional franchise sells trust, and in January 2024 it paid for breaching it. The U.S. Attorney's Office for the Southern District of New York and the SEC announced settlements with Morgan Stanley over the sale of certain block trades "from 2018 through August 2021"1. The firm paid a total of approximately $249 million under both settlements2, and the non-prosecution agreement required it to admit responsibility for certain acts of its employees3.
The amount was small against 2023 pre-tax income of $11,813 million4. The reputational cost is harder to measure, because block trading depends on clients believing the dealer will not trade ahead of them.
It is not the only case on the docket. Morgan Stanley has been a defendant in purported antitrust class actions since February 20165, and its risk factors name block trading among the businesses where concentrated positions can cause losses6.
The same year carried other one-off costs that came from inside the firm. In 2023 Morgan Stanley reported "higher legal expenses relating to a specific matter of $249 million" alongside severance of $353 million and integration expenses of $293 million7. Together those charges came to about $895 million8.
The non-prosecution agreement runs for three years from January 20249. A new enforcement action in the markets business within that period would turn one settlement into a pattern, and that would cost more than any fine.
