Morgan Stanley's corporate clients pay large fees once per deal, and the same deals now feed its wealth business.

Investment banking clients are the opposite of wealth clients: few relationships, large fees, and no recurring payment. Morgan Stanley's advisory revenue was $3,487 million in 2021, $2,244 million in 2023 and $2,888 million in 202512. In the second quarter of 2026 it was $798 million against $508 million a year earlier3.

Mergers dominate the fee pool.

The volume behind those fees is public. The firm reports, using LSEG data, completed mergers of $677 billion in 2023, $655 billion in 2024 and $756 billion in 2025, equity offerings of $32 billion, $63 billion and $79 billion, and fixed income offerings of $236 billion, $326 billion and $414 billion4.

A company pays for advice once per transaction, often years apart. The relationship is the asset; the revenue arrives when the client decides to buy, sell or raise money, which is when markets are open.

The same clients feed the rest of the firm. An IPO client's employees may join the workplace channel, and a founder's proceeds may become a wealth client. Just over half of the second quarter's record net new assets came from IPO-related inflows5.

Equity underwriting shows the rhythm of these clients. It was $4,437 million in 2021, $851 million in 2022, $889 million in 2023 and $1,965 million in 202567. The companies did not disappear in 2022; they stopped issuing, and the fees stopped with them.

Advisory revenue is the steadiest part of banking, because deals take months to complete. A year below $2.5 billion would say the pipeline had thinned before the markets did.
