Vanguard and BlackRock own a slice of Morgan Stanley while taking money out of its equity funds.
Some of Morgan Stanley's largest shareholders are also rivals of its fund business. Vanguard held 6.9% of the common stock, BlackRock 5.7% and State Street 7.2% at the 2026 record date1, and the proxy statement discloses ordinary-course business with them2. Each runs a large asset management business competing for the same savings as Morgan Stanley Investment Management.
The pressure shows in equity funds. The firm reported "continued net outflows in the Equity asset class" in 20253, and equity net flows were negative $12.5 billion in the second quarter of 2026 and negative $24.1 billion in the first half4. Equity was only $235 billion of Investment Management's $2,004 billion of assets under management in June 20265.
Investment Management has answered by moving to where passive funds are weaker. Its Alternatives and Solutions category held $852 billion6, and Parametric, which builds customised index portfolios, held $524 billion of long-term assets at the end of 20257. Parametric's products "generally have lower average fee rates"8, which is the price of competing with index funds on their own ground.
Institutional investors held about 63% of Morgan Stanley's shares in September 20269. Vanguard, BlackRock and State Street alone held about a fifth of the stock at the 2026 record date1011, which means the firm's rivals in fund management are also among its largest owners.
The segment's overall flows are still positive. Investment Management reported long-term net flows of $18.0 billion in 2024 and $34.4 billion in 202512, and $7.5 billion in the second quarter of 202613. The inflows come from alternatives and customised portfolios; the outflows from the plain equity funds that index providers undercut.
This is a relationship in which Morgan Stanley is a customer, a seller and a company owned in part by its rivals. The equity outflow is the measure: a year of equity inflows would say the active products had found an edge the index giants cannot copy.
