Morgan Stanley paid $11.9 billion for E*TRADE to own the cheap door to the house as well as the expensive one.
Morgan Stanley bought a whole class of client in one transaction. It completed the acquisition of E*TRADE on 2 October 2020 for approximately $11.9 billion1, paying in stock, and recorded identified intangibles of about $3.3 billion, including customer relationships of $2.8 billion2.
The self-directed business it bought is now large. Self-directed client assets were $1,437 billion at the end of 2024, $1,667 billion at the end of 20253 and $1,811 billion in June 20264. The channel served 8.5 million households at the end of 20255. Daily average revenue trades were 759 thousand in 2023, 837 thousand in 2024 and 1,029 thousand in 20256, and 1,278 thousand in the second quarter of 20267.
The value is not the commissions. A self-directed investor who grows wealthy, inherits, or retires is a candidate for an adviser, and Morgan Stanley's strategic update lists "Advisor-Led Flows from Workplace and E*TRADE" among its growth sources8. Morgan Stanley owns both doors to the same house.
The deal also brought a platform for the workplace business and a bank deposit base. The cost shows up in the balance sheet, where goodwill was $16,726 million at the end of 20259.
The deal was sized in shares, not cash. Morgan Stanley issued about 233 million shares at an exchange ratio of 1.0432 for each E*TRADE share10. At the end of 2025 the firm had 1,583 million common shares outstanding11, so the E*TRADE issue has since been more than bought back.
Self-directed assets tell the story here. They grew 16% in 202512; growth persistently below the market would mean the discount channel was losing its own customers and could not feed the advised one.
