AbbVie is paying $10.9 billion in cash for Apogee to have Skyrizi's successor ready before 2033.
In 2026 AbbVie agreed to acquire all outstanding shares of Apogee Therapeutics for $135.11 per share in cash, a total value of about $10.9 billion, with closing expected in the third quarter1. It is AbbVie's largest deal since Allergan.
The logic is immunology. Apogee develops antibodies for inflammatory diseases, the market in which AbbVie already sells Skyrizi and Rinvoq. A next-generation drug in the same diseases could let AbbVie repeat the Humira-to-Skyrizi transition when Skyrizi's patents end in 20332.
The deal dilutes near-term earnings. AbbVie's second-quarter update of its 2026 adjusted earnings guidance included $0.14 of dilution from Apogee3.
It is paid in cash, adding to a balance sheet that already carries net debt of about $64 billion4.
The timing matters. A drug bought in 2026 must complete its trials, win approval and build sales before Skyrizi's patents expire in 20335 for it to cushion the cliff. Development typically takes 8 to 12 years from discovery6; buying an asset already in the clinic is how AbbVie shortens that clock.
The price also reflects competition for immunology assets. Several large drug companies are looking for their own successors to blockbusters losing protection in the late 2020s and early 2030s, and assets with clinical data command premiums. AbbVie paid $135.11 a share in cash7, a price that assumes success.
The purchase is a bet on a drug years from approval. The evidence that it worked would be Apogee's lead programme reaching Phase 3 success before 2030; failure would repeat the Cerevel write-off on a larger scale.
