Capital One showed that a bank can buy a network and take its cards with it, and other banks noticed.

The oldest assumption in the card business is that banks issue cards and networks carry them. Capital One has broken it. It bought Discover for $35.3 billion in a deal that closed in May 20251, then moved its debit cards off Mastercard onto the Discover network2, about 25 million cards3.

A bank that owns a network does not need Mastercard's.

The motive is regulatory. Discover's network is treated differently under the debit interchange rules, so Capital One can collect interchange the Durbin cap would otherwise limit; a Truist analyst put the gain at nearly $1 billion a year4. The same report says other large banks want the same arrangement5, and Capital One is now testing whether credit cards can follow6.

For Mastercard the cost has already arrived. Reported United States debit growth was 1% in the second quarter of 2026 against underlying growth of 8%7. That was one issuer.

The episode also exposes a gap in Mastercard's own disclosures. Its 10-K says that customers can reassess their future commitments and may develop their own services that compete with Mastercard's8, but no filing contemplated a large issuer acquiring a network outright until Capital One did it. The response on the second-quarter call was measured: the migration was completed in the first quarter, and reported growth will recover once it laps9. That is true of the volume. It is not true of the precedent, which does not lap.

The test is whether a second large bank buys or builds a network of its own. If one does, the loss would no longer be a portfolio but a class of customer, and the second network's position would have to be defended against its own members.
