⚠ Pillar Two and the Tax RateLow threat

Mastercard (MA) — threat to the moat

The global minimum tax has already taken almost four points off Mastercard's after-tax margin.

Some of Mastercard's profitability has come from where it books income. The effective tax rate was 17.9% in 2023, 15.6% in 2024 and 19.4% in 20251. The company attributes part of the 2025 increase to the net effect of its Singapore operations, including the Pillar 2 rules that took effect in 20252.

The rate is drifting up.

The difference is material. On 2025 pre-tax income, the move from 15.6% to 19.4% cost several hundred million dollars of net income3. More jurisdictions adopting the minimum tax would push the rate higher.

The company has partial offsets. The 2025 results cite benefits from new government grants recognised after agreements signed in late 20254.

The tax change arrived in the same year as a record operating result, which disguised it. Income tax expense was $3,610 million in 20255, and net income still rose to $14,968 million6. In the second quarter of 2026 the effective rate was 20.0%7, and net income grew 19% against operating income growth of 17%8, so the drag has not yet worsened. But a company whose pre-tax income was about $18.6 billion in 20259 feels every point of tax as nearly two hundred million dollars.

The figure to follow is the effective tax rate, 20.0% in the second quarter of 202610; a rise into the low twenties would mean the tax advantage of the last decade is being unwound.
