Mastercard (MA) — moat facet

Mastercard hands more than half of its network's gross fees back to banks, more than Visa pays on a larger business, because the second network has to bid harder.

If Mastercard's network is the moat, rebates are the toll it pays to keep the drawbridge down. The company charges issuers and acquirers assessments on the dollars and fees on the transactions, then hands a large share back to the issuers to win and keep their cards. In 2025 gross payment network assessments were $39,998 million12 and rebates and incentives $20,522 million3, leaving payment network net revenue of $19,476 million4.

The toll, the refund and what is kept.

That split is the most important fact about Mastercard's economics and the one least often discussed. Rebates were 51.3% of gross assessments in 20255, up from 46.4% in 20226. Visa, the larger network, paid client incentives of $15,751 million in its fiscal 20257, less than Mastercard, on more revenue.

The reason is the structure of the buyer. Issuers are few, large and free to choose, and many of Mastercard's customer relationships are not exclusive8. The filing warns it may have to increase incentives to meet demand for "greater rebates and incentives"9. The smaller network bids higher.

This does not make the moat narrow; the network's net take is still very profitable, and the operating margin rose to 57.6% in 202510. It does mean the moat's rent is shared, and that the share is set by negotiation. The 2026 figures are the warning: rebates grew 22% in the second quarter against 10% for payment network net revenue11.

The rebate burden has grown faster than the business over a decade. On the older presentation Mastercard reported rebates and incentives of $3,980 million against gross revenue of $13,647 million in 201512; on the payment network basis rebates were $20,522 million in 202513. Rebates grew about 5.2 times while net revenue grew about 3.4 times14. Some of that reflects the change in presentation, and all of it reflects a market in which two networks bid for a shrinking number of very large issuers.

The honest description of this facet is a toll that must be partly refunded to be collected at all. The one number to follow is rebate growth against gross assessment growth. When rebates stop outgrowing the toll, the price of being second will have stopped rising.
