GE Vernova paid $5.25 billion for the rest of Prolec GE to own transformer factories in a shortage, doubling its grid segment's assets.
The Prolec purchase was a bet on the grid. On 2 February 2026 it bought the remaining 50% of Prolec GE, a transformer maker, for $5,254 million in cash1. Prolec has about 10,000 employees across seven manufacturing sites in the Americas, five of them in the United States2, and adds about $3.1 billion of revenue in 20263.
The logic is capacity: owning the whole of Prolec gives GE Vernova control of seven transformer factories and their output. The Electrification segment's assets rose from $9,017 million to $21,000 million between December 2025 and June 20264, 2.3 times5.
The purchase was financed partly with debt: GE Vernova issued $2.6 billion of senior notes in February 20266, due in 2031, 2036 and 20567; borrowings at the end of 2025 had been $289 million8.
The accounting flattered the first quarter. Remeasuring the 50% it already owned produced a pre-tax gain of $3,992 million9, part of $4.5 billion of M&A gains in the quarter10. That gain has nothing to do with the transformers' earning power.
The deal changed the segment's revenue guidance at once. Electrification revenue for 2026 is guided at $14.5 billion to $15.0 billion including about $3.1 billion from Prolec GE11, against $9,642 million in 202512. Without Prolec the guide implies growth of about 18% to 23%13, slower than 2025's 27.7%.
The deal will be judged by the return on those $21 billion of segment assets. Electrification revenue is guided to $14.5-15.0 billion for 2026 including Prolec14; a margin below 18% on that larger base would say GE Vernova overpaid for capacity.
