American Express (AXP) — moat facet

A closed loop has no interchange fee for a regulator to cap, so the merchant fee survived rules that cut its rivals; the price was losing the network in two regions.

American Express is issuer, network and merchant acquirer at once, and that structure is the reason its merchant fee survived the rules that cut its rivals'. Its 2015 annual report put it plainly: "there are no collectively set interchange rates on the American Express network"1, and issuer rates do not set the merchant's price.

The network half of the loop earns half of what it takes in.

In a four-party network such as Visa's, the bank that issues the card is paid an interchange fee by the merchant's bank, and that fee is what regulators have capped in several markets. In Amex's closed loop the whole discount goes to one company, so there is no separate payment for a regulator to target. The merchant pays Amex; Amex pays the rewards.

The same structure explains how the discount revenue is split inside the company. Within the three card-issuing segments, "discount revenue generally reflects the issuer component", while in Global Merchant and Network Services it reflects "the network and acquirer component"2. Amex reports the network share separately, and that segment earned $3,968 million of pretax income on $7,759 million of revenue in 20253, a margin of about 51%4.

The structure has limits, and they have been tested. Where regulators could not reach an interchange fee they reached the network: Amex exited its network business in the European Union and in Australia "as a result of regulation in those jurisdictions"5. The rules left Amex to decide whether running its own network there was still worth it, and it decided it was not.

The same structure also shapes the costs. A four-party network pays nothing for rewards; its issuing banks do. Amex pays the rewards itself, $18,409 million in 20256, out of the fee it keeps. Keeping the whole fee also means carrying the whole bill, which is the subject of The Rewards Bill.

Global Merchant and Network Services is where the three-party advantage shows up in the accounts. Its pretax margin has risen from about 30% in 2020 to about 51% in 20257; a fall back toward 40% without a one-off cause would mean the network half of the loop was being priced like everybody else's.
