J&J paid $17.1 billion for Abiomed and has already written down its own estimate of hitting the sales milestone it agreed.

Abiomed is the purchase that shows how J&J prices an acquisition. J&J paid $380.00 per share in cash, $17.1 billion net of cash acquired, plus a non-tradeable contingent value right worth up to $35.00 per share, about $1.6 billion in total1. The deal completed on 22 December 2022. The contingent right's first milestone pays $17.50 per share only if Abiomed's net sales exceed $3.7 billion in a twelve-month window from the second quarter of fiscal 2027 to the first quarter of 20282.

The milestone sits at more than twice current sales.

The business has grown steadily: sales of $1,306 million in 2023, $1,496 million in 2024 and $1,751 million in 20253, reflecting the continued strong adoption of Impella 5.5 and Impella CP4. But reaching $3.7 billion requires sales to roughly double from the 2025 level within about two years5, and J&J has told its shareholders what it thinks of the odds: its 2025 results included a reduction of the Abiomed contingent value right liability6.

That admission is buried in an accounting line. The company has recorded, in effect, that it expects to pay less of it.

For the moat, Abiomed adds a device used in patients with cardiogenic shock or undergoing high-risk percutaneous coronary intervention7, a niche where physician training and clinical data matter. It is a good business. Whether it was worth $17.1 billion depends on growth J&J itself does not appear to forecast.

Abiomed also shows the difference between the business bought and the business owned. International sales grew 9.5% in the second quarter of 20268, and J&J has a far larger international sales force than Abiomed had alone. If the device's growth is to recover, the most likely source is markets where J&J's reach adds something Abiomed could not have done on its own.

The accounting treatment is worth noting. J&J's MedTech segment recorded acquisition, integration and divestiture related net income of $0.2 billion in 2025, primarily driven by the reduction of the Abiomed contingent value right liability9. A lower expectation of paying the former shareholders showed up as a gain.

This is a narrow moat bought at a wide-moat price. What decides it is Abiomed's growth rate against the 17.1% of 2025; at that pace the business passes $3.7 billion around 203010, years after the milestone window closes.
