J&J has retired about one share in seven since 2015, half of it by trading away Kenvue.

J&J returns cash through a shrinking share count as well as the dividend. Diluted shares were 2,812.9 million in 20151 and 2,429.4 million in 20252, a reduction of about 13.6%3. Each remaining share owns a larger slice of the franchises.

The Kenvue exchange was the largest step.

The largest single step was not a buyback. In the 2023 Kenvue exchange offer J&J received 190,955,436 of its own shares, worth $31.4 billion, in exchange for Kenvue stock4. That transaction alone removed about 7% of the diluted count5.

Ordinary repurchases have been steady. J&J bought back $5,054 million of stock in 2023, $2,407 million in 2024 and $5,953 million in 20256, and $4,253 million in the first half of 20267.

The limit is price. At $270.57 a share and about 31 times trailing earnings89, each dollar of buyback retires fewer shares than it did at the end of 2024, when the company was worth $348.19 billion10.

Employee share plans work in the other direction. In the second quarter of 2026 employee compensation and stock option plans added $817 million to equity, partly through $620 million of treasury shares reissued11. Buybacks have to exceed that issuance before they shrink the count at all.

The numbers show how modest ordinary buybacks have been. Excluding the Kenvue exchange, the diluted count fell from 2,812.9 million in 2015 to 2,663.9 million in 20221213, about 5% in seven years14, while J&J spent billions a year on repurchases.

The falling share count is a real, if modest, help to per-share growth. The diluted count is the thing to follow: 2,440.1 million in the second quarter of 202615, slightly above 2025's figure. A count that rises for a full year would mean buybacks are no longer offsetting employee share issuance.
