J&J gave Kenvue the consumer brands and kept the talc lawsuits they produced.

The 2023 separation of Kenvue is the clearest case of J&J reshaping itself, and it shows what the company chose to keep. Kenvue's initial public offering on 8 May 2023 issued 198,734,444 shares at $22.00 for net proceeds of $4.2 billion1. On 23 August 2023 J&J completed an exchange offer that gave up 1,533,830,450 Kenvue shares for 190,955,436 of its own shares, worth $31.4 billion2. The exchange produced a gain of $21.0 billion3, which is why J&J's 2023 total net earnings were $35,153 million against $13,326 million from continuing operations4.

A large gain, and a liability that stayed behind.

The consumer business had been a steady but slow part of J&J. It sold $13,507 million in 2015 and $14,953 million in 202256, growth of about 1.5% a year7. Removing it raised the growth rate and the margin of what remained, the same logic now being applied to orthopaedics.

What J&J kept is the talc liability. Before the separation J&J agreed to retain all the talc-related liabilities and indemnify Kenvue for any and all costs arising from litigation in the United States and Canada8. The consumer products that generated the lawsuits left; the lawsuits stayed.

The consumer segment's own history shows why. In 2020 it reported a pre-tax loss of $1,064 million9, the only segment loss in the period, because litigation charges were allocated to it.

The trade also reduced the share count in a way an ordinary buyback could not have at that price. The 190,955,436 shares J&J received were about 7% of its diluted count1011, retired without spending cash. In effect J&J swapped a slow consumer business for a smaller, faster company with fewer shares and the same talc liability.

J&J did not keep the Kenvue shares either. It exchanged its remaining 9.5% stake in 2024 in a debt-to-equity exchange, recording a loss of about $0.4 billion12, and so no longer shares in the consumer business's results in any form.

The Kenvue separation made J&J a better business and a more concentrated one. The talc half of the trade will be settled by the final cost of the proposed ovarian talc resolution, set out on the root-level talc page.

The separation is complete; the retained talc liability is moving toward a proposed resolution.
