Merck's net debt rose by about $12 billion in six months as it paid cash for Cidara and Terns.

Merck's buying spree has moved its balance sheet. At the end of 2025 it had loans payable and current debt of $2,589 million and long-term debt of $46,750 million against cash of $14,565 million1, net debt of about $34.8 billion2. At 30 June 2026 short-term debt was $2,825 million, long-term debt $51,081 million and cash and short-term investments $7,141 million34, net debt of about $46.8 billion5.

Rising into the cliff.

Equity fell at the same time, from $52,606 million to $41,933 million67, because the acquisition charges reduced retained earnings while dividends continued.

The balance sheet is not strained. Merck has an undrawn $6.0 billion credit facility maturing in May 20318, and interest expense was $525 million in the second quarter of 20269. But it was $305 million a year earlier10, and leverage is rising just as Keytruda's earnings start their final years.

Debt was already a larger share of the balance sheet before the 2026 deals. Total debt was 36.0% of total liabilities and equity at the end of 2025, against 31.7% in 2024 and 32.9% in 202311. Merck also factored $1.6 billion of receivables in 202512, a modest additional source of cash.

The ratio to watch is net debt to equity, about 1.1 at 30 June 2026 against about 0.66 at the end of 202513. If it keeps rising through 2027, Merck will meet the cliff with less room to buy the next replacement.
