⚠ Goodwill From Paying UpLow threat
Tokio Marine Holdings (8766) — threat to the moat
About half of what Tokio Marine paid for its latest acquisitions was goodwill.
Tokio Marine's two acquisitions in the latest year show what it pays. Ignyte, a US agency for collector cars, closed in October 2025 for ¥102,829 million, of which ¥54,458 million was goodwill; Agrihedge, a US livestock price-risk business, closed in January 2026 for ¥150,004 million, of which ¥71,832 million was goodwill1. Goodwill was about half of each price2.
Paying well above book value is normal for good businesses. It also means that returns depend on the businesses growing into their prices.
The company's claimed 27.3% return on past deals3 is calculated by the company.
The two acquisitions together added ¥126.3 billion of goodwill45. Cash paid for acquisitions in the latest year was ¥257.8 billion, against ¥62.7 billion the year before6.
The measure is impairments. Any goodwill write-down on a recent acquisition would show the price too high.
