Every risk that attaches to those eight buildings is Sandisk's exposure and Kioxia's asset — and if the relationship ends, the buildings do not move.

Every one of the eight fabs belongs to Kioxia, and Sandisk's own filing says the ventures lease them.1

Sandisk guarantees half the equipment leases on tools inside somebody else's plant, and quantifies the whole exposure at $2.9bn.

That is the asymmetry the equal-partnership framing obscures. Flash Ventures owns or leases the manufacturing equipment; Kioxia owns the purpose-built wafer fabrication facilities at Yokkaichi and Kitakami and provides the manufacturing services inside them. Sandisk's properties table lists R&D sites, sales offices and an assembly and test plant at Penang — and no wafer fab anywhere.2

It matters in three ways an investor can act on. Physically, every risk that attaches to those buildings — earthquake, flood, power, labour — is Sandisk's exposure and Kioxia's asset, and Kioxia's own filings name earthquake and flood risk at Yokkaichi and the 2011 Tohoku damage at Kitakami. Financially, Sandisk guarantees half of Flash Ventures' equipment lease obligations, $923 million at the July 2026 rate, secured against tools inside somebody else's plant.3 Strategically, if the relationship ever ends, the buildings do not move.

The counterweight is that this is precisely the arrangement that let a company with $674 million of property and equipment book $12.4 billion of operating income.4 Ownership would have cost tens of billions and produced worse returns for two decades.

The exposure is quantified in the filing and it is not small: a maximum estimable loss exposure of $2,897 million, comprising notes receivable, equity investments, lease guarantees, inventory and prepayments.5

Watch the guarantee balance. At $923 million and amortising, it is manageable; a cancellation event under the Japanese lease facilities would make it immediate.
