Half the output of eight modern fabs, and not one building — the most unusual manufacturing arrangement in the collection, and the reason $674 million of property produced $12.4 billion of operating income.
Sandisk owns half the output of eight fabs and none of the eight fabs.
Flash Ventures is three separate companies — Flash Partners, Flash Alliance and Flash Forward — formed in 2004, 2006 and 2010 around Kioxia's Y3, Y4 and Y5 facilities at Yokkaichi, and since extended across New Y2, Y6, Y7 and the two Kitakami plants K1 and K2. Sandisk holds 49.9% of each and Kioxia 50.1%.1 Kioxia owns the buildings and provides wafer manufacturing services to the ventures at cost, using equipment the ventures own or lease. Each venture then resells wafers to the two partners at cost plus a markup, and the partners are each entitled to about half the output.2
What that buys is the most expensive thing in this industry at half price. A leading-edge NAND fab is a multi-billion-dollar commitment made years before the revenue arrives, and Sandisk carries $674 million of property, plant and equipment in total.3 The advantage is real and it is not replicable: nobody else can join.
What it costs is control, and the filing is unusually direct about it. Sandisk concluded it is not the primary beneficiary of any Flash Ventures entity because, on its 49.9% ownership and the voting structure, it "lacked the power to direct most of the activities that most significantly impact the economic performance" of them.4 Kioxia's own pages in this collection describe the same structure as equal decision-making rights. Both descriptions are accurate — equal on the board, unequal in the buildings.
Rated narrow. It is a genuine, durable and uncopiable cost position, held on terms Sandisk did not set and cannot unilaterally change.
The measure is the wafer cost per bit implied by gross margin at a stable NAND price — which is to say, the next trough. The last one showed 7.1%.
The arrangement was extended in January 2026 to run to the end of 2034 and the eighth fab, K2, began producing during the year. Nothing about the ownership, the cost mechanism or the balance of control has changed, and nothing is scheduled to.
Half the output of eight fabs at cost-plus pricing is what makes this margin possible in a boom; it is also what makes it collapse in a bust.

Sandisk is obligated to pay for variable costs based on a rolling three-month forecast, and purchase orders placed with Flash Ventures for up to three months are binding and cannot be cancelled; it is obligated to pay for half of Flash Ventures' fixed costs regardless of the output it chooses to purchase, and is committed to fund 49.9% to 50.0% of each entity's capital investments where operating cash flow is insufficient. Flash Ventures has historically operated at approximately 100% of manufacturing capacity; during 2026, 2025 and 2024 Sandisk temporarily reduced its utilisation and incurred costs of $11 million, $75 million and $249 million respectively, recorded as charges to cost of revenue. It participates in common R&D activities with Kioxia and is contractually committed to a minimum funding level, with R&D commitments due for 2027 of $138 million. Sandisk accounts for its ownership under the equity method; the entities are VIEs and Sandisk determined it is not the primary beneficiary of any of them, concluding on its 49.9% ownership, the voting structure and the manner in which day-to-day operations are conducted that it lacked the power to direct most of the activities that most significantly impact economic performance. Its 49.9% interest in the earnings of the entities is recognised one quarter in arrears in Other income (expense), net. Summarised financial information for the ventures: net sales of $2,775 million, $2,315 million and $2,252 million and net losses of $85 million, $63 million and $9 million for 2026, 2025 and 2024, with a gross loss of $93 million in 2026; total assets $7,320 million and total net equity of investees $1,025 million. Notes receivable and investments in Flash Ventures totalled $679 million. Sandisk made net payments to Flash Ventures of $3.6 billion, $3.4 billion and $3.4 billion in 2026, 2025 and 2024 and received distributions of $107 million and $176 million in 2026 and 2025.
