That sentence is a technical accounting conclusion — it is why Flash Ventures is not consolidated and why Sandisk uses the equity method rather than recognising its share of the assets directly, as Kioxia does. But it is also a plain statement of fact about a 49.9% stake. The 0.2 percentage points between 49.9 and 50.1 are not the reason. The reason is that Kioxia owns the plants, operates them, and provides the manufacturing services the ventures buy.

The practical consequences show up in ordinary decisions. Neither party can expand, retool or close a Flash Ventures fab alone. None of this has gone wrong. The partnership has run for over two decades and been extended repeatedly. The point is narrower: an investor buying Sandisk is buying a claim on manufacturing decisions taken jointly with a company that sells against it.

Watch for any public disagreement over capacity or node transition. There has not been one, which is the evidence that matters — and the reason a single one would matter so much.
