In the year to July 2026 the ventures reported net sales of $2,775 million and a net loss of $85 million, on a gross loss of $93 million. The year before: $2,315 million and a $63 million loss. The year before that: $2,252 million and a $9 million loss.1 Three years, three losses, through the best pricing environment NAND has ever seen.

The explanation is in the structure rather than the performance. Kioxia sells wafer manufacturing services to each venture at cost. Each venture resells the wafers to Sandisk and Kioxia at cost plus a markup.2 The margin on flash is not earned inside the joint venture; it is earned by the two partners when they sell finished product. Flash Ventures is a cost-sharing vehicle wearing the legal form of a company, and its income statement is close to meaningless as a measure of anything.

That has a specific effect on Sandisk's reported numbers. Its 49.9% share of the ventures' earnings is recognised one quarter in arrears in Other income (expense), net — so in the year Sandisk earned $11.4 billion, its share of the entity that manufactures all of its product was a small drag on the line below operating income.3

The arrangement is efficient and it is opaque. An outside investor cannot see the wafer cost, cannot see the markup, and cannot separate the manufacturing economics from the product economics.

The proxy is gross margin at a comparable NAND price, and the honest version of that comparison only becomes available in a downturn.

Flash Ventures has been run at cost plus a small markup for two decades and reported a small loss in each of the last three years. The structure is designed not to move.
