The arrangement recognises $176.5 million a year, straight-line, for 40 years, on an up-front payment of approximately $7 billion received in fiscal 2018.1 The recognition method reflects a performance obligation that is "generally constant throughout the term," which is honest accounting and leaves the economics fixed in nominal 2018 dollars until 2058.2

That is the risk, and it is slow. Every year of inflation makes the annual recognition worth less in real terms, and the alliance's growth accrues to Nestlé's volume rather than to a repriced royalty. $5.6 billion still sits in long-term deferred revenue, which is a third of a century of a fixed number waiting to be recognised.3

There is also a control dimension. Nestlé decides the shelf strategy, the promotional support and the pace of international rollout, and Nestlé owns Nescafé and Nespresso. Starbucks supplies the brand and audits the standards; it does not set the plan.

The reason this is a modest threat rather than a large one is that the deal was excellent when struck — Starbucks had a subscale packaged business and received seven billion dollars in cash for it — and the Global Coffee Alliance still drove the largest revenue increase in Channel Development this year, $99 million.4

Watch Channel Development revenue excluding the fixed royalty. It is the only measure of whether Nestlé is still pushing, and the fixed part will look identical either way.
