Gavilon taught Marubeni that buying scale in a commodity business it did not know is expensive, and the fertiliser half it kept now earns ¥10 billion a year.
In 2013 Marubeni bought Gavilon, an American grain and fertiliser merchant, for $2.7 billion1. By 2017 it was carrying ¥70,155 million of goodwill and ¥42,071 million of trademarks for it2. In the year to March 2020 it wrote down ¥78.3 billion after tax on the grain business, alongside an impairment for inappropriate transactions in Gavilon's Italian and Spanish business3.
In 2022 it sold the grain business to Viterra for $1.125 billion plus working capital4, booking a gain of ¥53.9 billion5, and kept the fertiliser arm, now MacroSource, which earned ¥10.4 billion in the year to March 20266.
The lesson Marubeni drew is visible in what it does now. Its current strategy speaks of platforms and returns on invested capital rather than scale, and the largest acquisitions since have been in businesses where it was already a partner.
The sale was large enough to change the company's accounts. The divestitures of the GC2024 plan totalled about ¥670 billion, including about ¥330 billion from Gavilon's grain business7, and reported revenue fell 21% in the year to March 2024 as the grain trading left the books89. Net profit that year was ¥471.4 billion10, barely changed.
The measure of whether the lesson held is the size of the next big acquisition relative to the company. Nothing since has been Gavilon's size in a single business Marubeni did not know.
The retained fertiliser business, MacroSource, grew from ¥8.4 billion to ¥10.4 billion; the loss-making grain business has been gone for four years.
The half of Gavilon that was kept is growing; its profit is the return on a painful purchase.
