ITOCHU-SHOKUHIN and C.I. TAKIRONThin moat
ITOCHU (8001) — moat facet
ITOCHU applies the same buy-out-and-integrate method to small subsidiaries as to its flagship businesses.
The take-private method extends to smaller subsidiaries. ITOCHU completed a tender offer for ITOCHU-SHOKUHIN, a food wholesaler, in April 2026, taking it from 52.5% to 100%1; the investment was ¥61.8 billion, about ¥78 billion including the squeeze-out2. It privatized C.I. TAKIRON, a plastics and materials maker, in the year to March 20253; C.I. TAKIRON contributed ¥6.2 billion in the latest year4.
These are less visible than FamilyMart or CTC and follow the same logic: a listed subsidiary becomes wholly owned, its profit is no longer shared with minorities, and its operations can be integrated with ITOCHU's.
ITOCHU's group had 265 companies in the latest year, of which 247 were profitable, a record 93.2%5.
Loss-making companies numbered 18 in the latest year6. ITOCHU exited ¥441.0 billion of investments in the year7, which is how the number is kept low.
The measure is the profitable share of group companies. Above 90% suggests the portfolio discipline is working.
The method continues; the businesses are small.
The portfolio's health; a falling share would show weaker businesses accumulating.
