Half of all goodwill is one convenience-store chain.

The same chain produced fixed-asset impairments in the year to March 20213, when the pandemic hit store traffic. A goodwill impairment would not change the cash the stores produce, but it would show that ITOCHU paid more for control than the chain is worth.

Total goodwill and intangible assets were ¥1,228,428 million at March 20264, and the take-privates of recent years add to them. Each new acquisition brings its own goodwill and its own annual test.

The measure is the headroom in the annual impairment test, which is not published in figures. The first sign would be a fall in FamilyMart's contribution below about ¥50 billion for two consecutive years.
