The power to write Vertiv into the reference design is also the power to standardize its cooling into a commodity slot.

Being designed into the chipmakers' reference architectures is a valuable position, but it rests on a dependence: the chip and system vendors hold the pen. They decide what goes into the reference design, and they can revise it. A blueprint that today features Vertiv's cooling prominently could tomorrow specify a more open, multi-vendor cooling standard, name additional approved suppliers, or define the cooling interface so precisely that it becomes a commodity slot any qualified vendor can fill. The power to elevate is also the power to commoditize.

More of Vertiv's sales depend each year on designs specified by a few American chip and cloud companies.

The deeper risk is that the chipmakers' incentives are not aligned with Vertiv's margins. Nvidia and its peers want abundant, cheap, interchangeable cooling and power so that nothing constrains the sale of their chips; they have no particular interest in preserving any one infrastructure vendor's differentiation or pricing. As the reference designs mature and standardize, the cooling and power slots they define may become more contested and less profitable. Vertiv's defense is to make itself indispensable through engineering, scale, and deployment speed — to be the supplier the chipmakers want in the design because it can actually deliver — but the structural fact remains that it is building on a platform someone else controls — with a ~$15B backlog exposed to any redraw of the reference design1.
